We may remove reviews at our discretion.

Take legal action for violations.

12. Services, Orders, Fees, and Taxes

Services are outlined in proposals or order forms. In the event of conflict, a signed document prevails.

Payments are due as specified. Prices exclude VAT and applicable taxes unless noted otherwise.

Subscription services may auto-renew unless canceled in advance.

No refunds unless required by law or expressly stated in writing.

You must provide timely access to assets and approvals to prevent project delays.

13. Marketing Platform Compliance

You agree to comply with all platform-specific policies (e.g., Meta Ads, Google Ads, email/SMS laws). You are responsible for the content of your ads.

14. Client Materials & IP

You warrant that any materials you provide are lawful and do not infringe third-party rights.

You grant us permission to use such materials to deliver services.

Final deliverables are licensed to you for internal use only, unless ownership is explicitly transferred.

We retain rights to tools, templates, and know-how used in the delivery process.

You allow us to showcase your project (unless you opt out).

15. Confidentiality

Each party will safeguard the other's confidential information and only use it to fulfill obligations under these Terms. Exceptions apply for public, independently developed, or legally compelled disclosures.

16. Termination

We may suspend or terminate your access if you violate these Terms. You may not create a new account if yours is suspended. Termination does not affect past obligations or accrued rights.

17. Modifications & Downtime

We may update, modify, or temporarily shut down the Site at any time without notice. We are not responsible for any inconvenience or loss caused by downtime.

18. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Legal disputes must be brought in Cebu City, Philippines.

19. Dispute Resolution

Amicable Settlement: Parties will attempt to resolve disputes within 30 days before litigation.

Jurisdiction: Disputes shall be heard exclusively in Cebu City.

Exceptions: IP protection, urgent relief, and unauthorized use are exempt from amicable resolution.

20. Disclaimer & Limitation of Liability

The Site is provided “as-is.” We do not guarantee uptime, performance, or specific results. To the maximum extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages.

21. Indemnification

You agree to indemnify and hold harmless Urbantech Digital Solutions from any claims related to:

Your violation of these Terms.

Your advertising or content claims.

Any data or materials you provide.

22. User Data

We maintain some system data and backups, but you are responsible for your own data. You agree to our handling of your data under our Privacy Policy and applicable law.

23. Electronic Communications

You consent to electronic communications and signatures under the E-Commerce Act of 2000 (R.A. No. 8792). This includes agreements, disclosures, and notices sent via email or online forms.

24. Dispute & Complaint Resolution

Philippine residents may contact DTI for consumer concerns or the National Privacy Commission (NPC) for data privacy issues.

25. Non-Solicitation Clause

During and for 12 months after engagement, you may not solicit or hire any personnel introduced through Urbantech Digital Solutions without written consent.

26. Miscellaneous

These Terms form the full agreement between you and us. If any clause is found unenforceable, the rest remains in effect. We may assign rights freely. Force majeure applies for delays caused by events beyond our control.
